1. Orders
UAE Export Gerhard Pfennig will confirm the order immediately. The order shall be accepted by dispatching the goods. Written confirmation can be substituted by the invoice on immediate delivery.
2. Prices
Unless not differently stated, UAE Export Gerhard Pfennig stands to the prices offered in the quotation for 30 days. Hereby prices stated on the confirmation of the order are binding. All quoted prices are noncommittal and include German VAT plus forwarding charges. Deliveries into EU countries or countries outside the EU are without VAT, provided that a valid VAT-ID-No. is existing and stated. Here the Buyer is responsible for the correct billing of the VAT.
3. Payment terms
As a rule, payment is due paid in advance. In the case of cash in advance, deliveries will be made immediately on payment receipt, provided the products are available. The payment is effective at the moment UAE Export Gerhard Pfennig can dispose of the amount.
4. Delivery
Until further notice we will only deliver to EU-states and United Arab Emirates.Binding delivery dates have to be stipulated. The term is kept if the products are dispatched before the term ends. ... Delivery time will be prolonged accordingly if there are events such as strike, log-out, legal orders, force majeure, etc., which can not be influenced by UAE Export Gerhard Pfennig. Is lasting such an interference longer than 3 month, the Buyer is able to cancel the contract after appropriate extension of time (minimum a fortnight). Hence the Buyer has no claims for damages. If UAE Export Gerhard Pfennig runs into default, the Buyer will be entitled to damages amounting to 5% of the invoice value of the affected consignment. Any other claims beyond that are excluded. UAE Export Gerhard Pfennig is entitled for part-deliveries, unless otherwise agreed. In terms of payment obligations, transfer of perils and warranty obligations, part deliveries are considered as autonomous deliveries. The Buyer is not entitled to refuse autonomous deliveries.
5. Default of acceptance
On default of the Buyers acceptance, UAE Export Gerhard Pfennig is entitled to store the consignments at the expense of the Buyer, or to claim for damages up to the amount of 25% of the price or compensation of the effective damage.
6. Transport risk
The products will be despatched as insured package with forwarding agencies. Transportation costs and risks with consignments send back to UAE Export Gerhard Pfennig are on Buyers account.
7. Deliver quantity
Visible quantity deviations have to be announced immediately in writing, hidden quantity deviations within a period of two days to UAE Export Gerhard Pfennig and the forwarding agency after receipt of the goods.
8. Complaint and warranty
The Buyer has to check the products when received. Apparant transportation damages have to be announced to the forwarding agency on delivery. UAE Export Gerhard Pfennig guarantees a 2 year period of warranty on their products.
9. Reservation of title
Until the full payment of all bills outstanding, UAE Export Gerhard Pfennig holds property in their goods.
10. Export
Buyers are responsible for the solicit of export licences.
11. Place of performance and place of jurisdiction
Place of all legal transactions, performance and jurisdiction is the Federal Republic of Germany.
